These terms outline how CareForce delivers secure, compliant infrastructure while partnering closely with your organization's governance and operational standards.

Agreement to terms

By accessing or using the CareForce platform, mobile applications, or related services (collectively, the "Services"), you agree to be bound by these Terms of Service and any applicable master services agreement executed with CareForce Cloud, Inc. ("CareForce").

If you do not agree to these Terms, you may not access or use the Services. These Terms apply to all users, including but not limited to administrators, employees, contractors, and end-users.

Permitted use

Prohibited uses include: unauthorized copying, reverse engineering, scraping, or derivative use of the Services; attempting to gain unauthorized access; transmitting malware or harmful code; violating third-party rights; or using the Services for illegal purposes. All rights not expressly granted are reserved by CareForce.

  • Use the Services solely for your internal business operations in compliance with applicable laws and contractual obligations.
  • Maintain appropriate safeguards when exporting or integrating data from the platform.
  • Ensure user accounts are used only by the individuals to whom they are assigned and keep credentials confidential.
  • Comply with all applicable privacy laws and regulations in your jurisdiction.
  • Respect intellectual property rights and do not attempt to reverse engineer, decompile, or extract source code.

User accounts & authentication

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify CareForce immediately of any unauthorized use of your account.

CareForce may use OAuth 2.0 and other authentication methods to verify your identity. By using OAuth authentication (Google, Microsoft, etc.), you authorize CareForce to receive and use the information provided by those services as described in our Privacy Policy.

You must provide accurate, complete, and current information when creating your account. You are responsible for updating this information as needed.

Data stewardship & compliance

CareForce provides a secure infrastructure for workforce management and operational data. You remain the controller of data entered into the platform and are responsible for maintaining lawful rights to upload and process such information.

You warrant that you have obtained all necessary consents and authorizations to provide employee and operational data to CareForce.

CareForce currently does not process Protected Health Information (PHI) or patient data. If you intend to process PHI with CareForce in the future, you must notify us in advance so we can implement appropriate safeguards and execute a Business Associate Agreement (BAA) as required by HIPAA.

You are responsible for compliance with applicable privacy laws including GDPR, CCPA, and state privacy laws. CareForce will assist with compliance but does not assume responsibility for your regulatory obligations.

Intellectual property rights

CareForce retains all right, title, and interest in the Services, including all software, documentation, designs, and intellectual property. You are granted a limited, non-exclusive, non-transferable license to use the Services for the purposes authorized in your agreement with CareForce.

You retain ownership of any data you upload to the Services. By uploading data, you grant CareForce a license to use, store, and process that data as necessary to provide the Services.

You may not use CareForce's trademarks, logos, or brand names without prior written permission.

Service availability & support

We operate our Services with high-availability infrastructure and disaster recovery practices. We target 99.5% uptime but do not guarantee uninterrupted service.

Scheduled maintenance windows are communicated in advance whenever possible. We may suspend access without notice if required to address security incidents, legal obligations, or threats to system integrity.

Support is provided during business hours (Monday-Friday, 9 AM - 5 PM EST) via email and support portal. Emergency support for security incidents is available 24/7.

CareForce is not responsible for service interruptions caused by factors outside our control, including internet outages, natural disasters, or third-party service failures.

Fees & payment

Fees for the Services are as specified in your master services agreement or order form. Fees are exclusive of applicable taxes, which you are responsible for paying.

Invoices are due within 30 days of receipt. Late payments may result in suspension of Services and may incur interest charges.

CareForce reserves the right to modify fees with 30 days' written notice. Changes will apply to renewals and new subscriptions.

All fees are non-refundable except as required by law or as specified in your agreement.

Limitation of liability

To the fullest extent permitted by law, CareForce is not liable for indirect, incidental, special, consequential, or punitive damages, or any loss of revenue, profits, data, or goodwill arising from your use of the Services.

CareForce's total liability for any claim arising from these Terms or your use of the Services shall not exceed the fees paid by you in the 12 months preceding the claim.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so these limitations may not apply to you.

Warranties & disclaimers

CareForce provides the Services "as is" and "as available" without warranties of any kind, express or implied.

CareForce disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

CareForce does not warrant that the Services will be error-free, uninterrupted, or secure. You use the Services at your own risk.

Indemnification

You agree to indemnify, defend, and hold harmless CareForce and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorney's fees) arising from:

• Your use of the Services in violation of these Terms

• Your violation of applicable laws or regulations

• Your infringement of third-party intellectual property rights

• Data you upload to the Services that violates third-party rights

• Your breach of your obligations under these Terms

Termination

Either party may terminate the Services with written notice as specified in your master services agreement.

CareForce may terminate or suspend your access immediately if you violate these Terms, engage in illegal activity, or pose a security risk.

Upon termination, your right to use the Services ceases immediately. You remain responsible for any fees incurred through the termination date.

CareForce will provide you with a reasonable opportunity to retrieve your data before deletion, subject to applicable data retention requirements.

Modifications to terms & services

We may update these Terms to reflect product enhancements, regulatory changes, or other business reasons. Material changes will be communicated to account administrators at least 30 days in advance.

Continued use of the Services after updates become effective constitutes acceptance of the revised terms. If you do not agree to changes, you may terminate your account.

Confidentiality

Each party agrees to maintain the confidentiality of the other party's confidential information and to use it only for purposes authorized under these Terms.

Confidential information does not include information that is publicly available, independently developed, or received from a third party without confidentiality obligations.

Governing law & dispute resolution

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles.

The parties consent to the exclusive jurisdiction of state and federal courts located in Suffolk County, Massachusetts for any disputes arising from these Terms.

Before initiating litigation, the parties agree to attempt to resolve disputes through good-faith negotiation. If negotiation fails, either party may pursue legal remedies.

Entire agreement

These Terms, together with any master services agreement, privacy policy, and other documents referenced herein, constitute the entire agreement between you and CareForce regarding the Services and supersede all prior agreements and understandings.

Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or if not possible, severed. The remaining provisions will continue in full force and effect.
